Wholesale Terms & Conditions

In these Wholesale Terms & Conditions, “we”, “us” and “our” refer to Chatterbox Australia Pty Ltd ACN 625 650 777 trading as Twiddl (“Twiddl”, “The Brand”).

“You” and “your” refer to any business entity that applies for and is approved as a wholesale customer (“The Stockist”).

Your application for, access to, and purchase of wholesale products from Twiddl is provided subject to these Wholesale Terms & Conditions and our Privacy Policy (together, the “Terms”).

By submitting a wholesale application, accessing our wholesale portal, or placing a wholesale order, you acknowledge that you have read, understood, and agree, without limitation or qualification, to be bound by these Terms.

Acceptance and Commencement

We reserve the right to accept or reject any wholesale application at our sole discretion.

These Terms become legally binding on you on the date we accept your wholesale application in writing or electronically (“Commencement Date”).

Wholesale Relationship

Approval as a Stockist does not create any partnership, agency, franchise, joint venture, or employment relationship between you and us.

You purchase products from us as an independent reseller and operate your business at your own risk.

Wholesale Account Information

To apply for a wholesale account, you must provide accurate, complete, and up-to-date business information, including legal entity details, ABN, contact information, sales channels, and store locations.

You must promptly notify us of any changes to your business details. We may rely on the accuracy of the information you provide at all times.

Sales Channels

You may only sell Twiddl products through the sales channel(s) specified in your wholesale application and approved by us.

You must not sell Twiddl products through any other channel, platform, marketplace, or distribution method unless we have expressly agreed in writing.

Any unauthorised channel sales constitute a material breach of these Terms.

Territory

You may only sell Twiddl products within the territory approved as part of your wholesale application.

We reserve the right to refuse supply of products intended for sale outside approved territories.

Product Information

We strive to ensure that all product descriptions, pricing, and information displayed on our wholesale site are accurate and current. However, we do not warrant that all information is error-free.

Images are provided for illustrative purposes only and may not precisely reflect the final product.

We reserve the right to correct any errors, omissions, or inaccuracies at any time.

Pricing, Margins and Commercial Terms

Wholesale pricing, product margins, minimum order values, shipping fees, handling fees, and any applicable charges will be displayed on our wholesale site and may vary by Stockist.

Product margins are agreed between you and us and are governed by the pricing displayed on the wholesale site at the time of ordering.

All prices are stated in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.

We reserve the right to amend wholesale pricing and commercial terms at any time. Updated terms apply to all orders placed after they are published on the wholesale site.

Orders and Payment

All wholesale orders are subject to acceptance by us.

Payment terms applicable to you will be displayed on the wholesale site or otherwise communicated in writing.

We may suspend or cancel supply if payment terms are not met.

Once an order has been submitted, it may not be cancelled unless we agree otherwise in writing.

Shipping and Risk

Shipping, handling, and related fees may apply and will be disclosed at checkout on the wholesale site.

Risk in the goods passes to you upon dispatch, to the extent permitted by law.

We are not responsible for delays or losses caused by carriers or events beyond our reasonable control.

Faulty or Damaged Goods

If you receive faulty or damaged goods, you must contact hello@twiddl.co
 as soon as reasonably practicable with your order details and supporting information.

Any remedies will be assessed in accordance with applicable Australian Consumer Law.

Intellectual Property

All intellectual property rights in Twiddl, including trademarks, product names, formulations, packaging, designs, content, and goodwill, remain our exclusive property.

Approval as a Stockist does not grant you any ownership, licence, or right to use our intellectual property except as necessary to sell approved products in accordance with these Terms.

You must not alter, reproduce, or misuse our branding or intellectual property without our prior written consent.

Termination

We may suspend or terminate your wholesale account immediately if you breach these Terms, misuse our intellectual property, sell outside approved channels or territories, or engage in conduct that may harm our brand or reputation.

Termination does not affect any accrued rights or obligations.

Disclaimers

To the maximum extent permitted by law, we exclude all warranties, express or implied, including warranties of merchantability, fitness for purpose, and non-infringement.

We do not guarantee uninterrupted supply or availability of any product.

Limitation of Liability

To the maximum extent permitted by law, our total liability to you is limited to 100% of the value of the goods purchased by you in the relevant transaction.

We are not liable for any indirect, consequential, incidental, punitive, or special damages arising out of or in connection with your wholesale relationship with us.

Indemnity

You agree to indemnify and hold harmless Chatterbox Australia Pty Ltd and its officers, employees, agents, and representatives from any loss, damage, liability, cost, or expense arising from your breach of these Terms or misuse of our products or intellectual property.

Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, supply chain disruption, labour disputes, or government action.

Changes to Terms

We may revise these Wholesale Terms & Conditions at any time.

By continuing to access our wholesale portal or place orders, you agree to be bound by the current version of the Terms as published from time to time.

Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia.

You submit to the exclusive jurisdiction of the courts of Victoria.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
